Terms of Service

General Conditions for Contracting and Provision of Services

These Terms of Service constitute a legally binding agreement between you (the "Client") and SYX WEB SERVICES (the "Provider"). By contracting our services, you agree to comply with and be bound by these terms and conditions.

1. ACCEPTANCE OF TERMS

By accessing and using SYX WEB SERVICES' services, you agree to be legally bound by these Terms of Service. If you disagree with any part of these terms, you must not use our services. By accepting these terms, you declare that you are over 18 years of age, have legal capacity to enter into binding contracts, are not prohibited from receiving services under applicable laws, and will provide truthful and accurate information. We reserve the right to modify these terms at any time. Modifications will take effect immediately after publication. It is your responsibility to review these terms periodically.

2. DESCRIPTION OF SERVICES

SYX WEB SERVICES provides web development, digital design, hosting, web maintenance, technology consulting, custom application development, and digital technology-related services as specified in each individual contract. The specific scope of each project will be defined in the accepted commercial proposal, signed service contract, agreed technical specifications, and established delivery schedule. Any additional work outside the agreed scope will be considered an extra service subject to additional quotation. We strive to keep our services available continuously, but we do not guarantee they will be free of interruptions, delays, or errors.

3. BILLING AND PAYMENTS

Projects will be billed as agreed in the commercial proposal. Typically: 50% at project start, 30% upon completing intermediate milestones, and 20% upon completion and delivery. Maintenance and hosting services are billed monthly or annually according to the contracted plan. We accept payments via bank transfer, credit/debit cards, online payment gateways, and other previously agreed methods. Payments must be made within 7 business days after invoice issuance, unless otherwise agreed. Late payments may be subject to 2% monthly late interest, temporary service suspension, or contract cancellation in severe cases. All prices are plus applicable taxes according to current legislation.

4. CLIENT RESPONSIBILITIES

The client commits to providing complete and accurate information, delivering necessary materials in a timely manner, responding to inquiries within reasonable timeframes, designating an authorized representative for the project, and providing necessary access to systems when required. The client is solely responsible for the legality of all provided content, copyrights and material licenses, accuracy of published information, and compliance with applicable content laws. SYX WEB SERVICES is not responsible for illegal, defamatory content or content that infringes third-party rights. The client must cooperate reasonably during project development. Delays caused by lack of cooperation may result in extended delivery timelines.

5. INTELLECTUAL PROPERTY

Once full payment is completed, the client will receive usage rights for custom work created specifically for their project. This includes approved final designs, specifically developed code, and content created for the client. SYX WEB SERVICES retains all rights to general-use tools, frameworks, and libraries, proprietary methodologies and processes, reusable code components, and technical know-how and expertise. Unless a specific confidentiality agreement exists, SYX WEB SERVICES reserves the right to include the project in its portfolio, use it as a commercial reference, and display screenshots and project descriptions.

6. LIMITATION OF LIABILITY

We guarantee that services will be provided with professionalism and reasonable care, work will meet agreed specifications, and we will correct errors reported during the warranty period (typically 30 days post-delivery). However, we do not guarantee specific commercial results from using our services. SYX WEB SERVICES shall not be liable for loss of income or profits, data loss (except in cases of gross negligence), indirect or consequential damages, interruptions caused by third parties, or failures in integrated third-party services. In no event shall our total liability exceed the amount paid by the client during the 12 months prior to the incident or USD 5,000, whichever is less.

7. SERVICE TERMINATION

The client may terminate the service with 30 days' prior written notice. For ongoing projects, the client will pay for all work completed to date, all developed materials will be delivered, and payments already made will not be refunded. We may terminate the service immediately if the client breaches these terms, there is non-payment for more than 30 days, the client provides false information, fraudulent or illegal use of the service is detected, or the client acts abusively toward our staff. Upon service termination, access to systems and services will be suspended, the client must pay all outstanding amounts, and a final copy of the work will be delivered if paid for.

8. MAINTENANCE AND SUPPORT

All projects include 30 days of post-launch support for functional bug fixes, minor design adjustments, and technical problem resolution. This support does not include new features or significant scope changes. We offer maintenance and support plans that include security updates, regular backups, performance monitoring, priority technical support, and limited content updates. Response times vary by plan: Basic Plan - 48 business hours, Professional Plan - 24 business hours, Premium Plan - 4 business hours.

9. GENERAL PROVISIONS

These terms shall be governed by and interpreted in accordance with the laws of the Republic of Peru, without regard to conflict of law principles. Any dispute shall be resolved through direct good-faith negotiation, mediation if negotiation fails, or binding arbitration as a last resort. Arbitration shall take place in Lima, Peru, in Spanish. If any provision of these terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect. These terms, together with any specific service contract, constitute the complete agreement between the parties and supersede all prior agreements, written or oral.
